Important Legal Notice

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. They form a binding legal agreement between you or the entity you represent ("Customer" or "you") and Humai FZCO ("Humai," "we," "us") that governs your access to and use of the Huscribe Service.

By creating an account, executing an Order Form, or using the Service, you agree to be bound by these Terms of Service, our Privacy Policy, and our Data Processing Addendum, all of which are incorporated by reference.

If you do not agree to these Terms, you may not access or use the Service.

1. Definitions

Term	Meaning
Humai	Humai FZCO, a free zone company registered in the Dubai Multi Commodities Centre (DMCC), Dubai, UAE.
Service	The Huscribe software-as-a-service platform, including websites, desktop/mobile applications, APIs, plug-ins, and related documentation provided by Humai.
Workspace	A dedicated digital environment within the Service for a specific Customer.
User	Any individual invited or authorized by the Customer to access and use the Workspace.
Content	Any data, information, audio files, video files, text, and other materials that a User uploads, connects, submits, or generates within the Service. This includes both the inputs provided by you and the outputs (e.g., transcriptions, summaries) generated by the Service.
Order Form	The Humai-approved ordering document (including online checkout pages) that specifies the Customer's Subscription, fees, and other commercial terms.
Subscription	The specific plan (whether a paid plan or Start Trial) that governs the Customer's access, features, and usage limits for the Service, as detailed in the Order Form.
DPA	The Huscribe Data Processing Addendum, which is incorporated into these Terms.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract.

2.2 Business Authority

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2.3 Account Security

You agree to provide accurate and complete information during registration and to keep your account credentials confidential. You are fully responsible for all activities that occur under your Workspace and its User accounts.

3. License and Acceptable Use

3.1 Limited License

Subject to your compliance with these Terms and payment of all applicable fees, Humai grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Service during your Subscription term, solely for your internal business purposes.

3.2 Restrictions

You shall not, and shall not permit any User or third party to:

• Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Service
• Resell, sublicense, lease, or otherwise provide access to the Service to any unauthorized third party
• Remove or obscure any proprietary notices, labels, or branding from the Service
• Use the Service to build a competitive product or service
• Interfere with the security, integrity, or performance of the Service, or probe, scan, or test its vulnerability
• Upload or transmit any Content that contains malware, is unlawful, infringes on third-party rights, or violates any individual's privacy
• Use the Service for any high-risk activities where failure or error could lead to death, personal injury, or severe environmental damage (e.g., control of air traffic, life support systems, or clinical decision-making)

3.3 Beta Features

From time to time, we may offer features marked as "Beta" or "Preview." These are provided "AS-IS," may contain bugs or errors, can be modified or discontinued at any time without notice, and are excluded from any service level agreements or warranties.

4. Customer Content

4.1 Ownership

You retain all ownership rights, title, and interest in and to your Content. Humai does not claim any ownership over it.

4.2 License to Humai

To enable us to operate and provide the Service, you grant Humai a worldwide, limited-term license to host, copy, process, transmit, and display your Content solely as necessary to provide, maintain, and secure the Service for you.

4.3 Service Improvement

To improve our service (e.g., fine-tuning transcription models), we may use an anonymized and aggregated version of Content. We will never use your Content for such purposes in a way that identifies you or any individual. You may have the option to opt-out of this usage in your Workspace settings.

4.4 Data Processing

For any personal data within the Content, you are the "data controller" and Humai is the "data processor." Our processing activities are governed by the DPA.

4.5 Customer Responsibilities

You represent and warrant that you have secured all necessary rights, licenses, and consents to upload and process the Content through the Service and that doing so will not violate any applicable laws or third-party rights.

5. Third-Party Services

The Service may integrate with third-party services (e.g., CRMs, speech-to-text engines). These integrations are governed by the terms of those third-party providers. Humai is not responsible for, and disclaims all liability for, the performance, security, or compliance of any third-party service. Your use of such integrations is at your own risk.

6. Subscription, Fees, and Payment

6.1 Fees

You agree to pay all fees specified in your Order Form. Except as otherwise specified, fees are quoted and payable in United States Dollars.

6.2 Billing

Subscriptions are billed in advance on the interval specified in the Order Form. All payment obligations are non-cancelable, and fees paid are non-refundable.

6.3 Taxes

Our fees are exclusive of any taxes, levies, duties, or similar governmental assessments, including value-added tax (VAT), sales, or use taxes (collectively, "Taxes"). You are responsible for paying all Taxes associated with your purchases.

6.4 Late Payment

Overdue amounts may be subject to a late fee of 1.5% of the outstanding balance per month, or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend your access to the Service for non-payment.

7. Confidentiality

7.1 Definition

"Confidential Information" means all non-public information disclosed by one party to the other, whether designated as confidential or reasonably should be understood to be confidential. Humai's Confidential Information includes the non-public aspects of the Service. Your Confidential Information includes your non-public Content.

7.2 Obligations

The receiving party will use the same degree of care that it uses to protect its own confidential information (but not less than reasonable care) and will not disclose or use any Confidential Information of the disclosing party for any purpose outside the scope of this Agreement.

7.3 Exclusions

Confidential Information does not include information that:

• Is or becomes publicly known through no breach of these Terms
• Was known to the receiving party prior to its disclosure
• Is received from a third party without breach of any obligation
• Was independently developed

7.4 Survival

This duty of confidentiality shall survive for three (3) years after the termination of these Terms.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE FULLEST EXTENT PERMITTED BY LAW, HUMAI AND ITS AFFILIATES, SUPPLIERS, AND DISTRIBUTORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

HUMAI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, NOR DOES IT MAKE ANY WARRANTY AS TO THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY OUTPUTS (SUCH AS TRANSCRIPTIONS OR SUMMARIES) GENERATED BY THE SERVICE.

9. Limitation of Liability

9.1 Exclusion of Indirect Damages

IN NO EVENT SHALL HUMAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE.

9.2 Liability Cap

HUMAI'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

• US $1,000, OR
• The total fees paid or payable by you to Humai for the Service in the twelve (12) months preceding the event giving rise to the claim

9.3 Exceptions

NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

10. Indemnification

You agree to defend, indemnify, and hold harmless Humai, its affiliates, officers, directors, and employees from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your Content
• Your breach of these Terms or any applicable law
• Your use of any third-party integrations

11. Term and Termination

11.1 Term

These Terms commence on the date you first use the Service and continue as long as you have an active Subscription or Workspace.

11.2 Termination for Convenience

Either party may terminate these Terms by providing the other party with thirty (30) days' prior written notice.

11.3 Termination for Cause

Either party may terminate these Terms immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within ten (10) days of receiving notice.

11.4 Suspension

We may suspend your access to the Service immediately if:

• You are in breach of Section 3.2 (Restrictions)
• Your account is overdue
• Your use of the Service poses a security risk to us or any other user

11.5 Effect of Termination

Upon termination, your license to use the Service will cease. We will delete or anonymize your Content in accordance with our DPA. The following sections shall survive termination: 3.2, 4.1, 6, 7, 8, 9, 10, 11.5, 12, 13, and 14.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the Dubai Multi Commodities Centre (DMCC) and the applicable federal laws of the United Arab Emirates.

12.2 Dispute Resolution

Any dispute, claim, or controversy arising out of these Terms that cannot be resolved amicably within thirty (30) days shall be referred to and finally settled by arbitration under the Arbitration Rules of the DMCC.

• Language of Arbitration: English

The arbitration proceedings and the resulting award shall be confidential. Nothing in this section shall prevent either party from seeking immediate injunctive relief from a court of competent jurisdiction for infringements of intellectual property or data security breaches.

13. Modifications to Terms

We may modify these Terms from time to time in our sole discretion. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. For material changes that reduce your rights or increase your obligations, we will provide additional notice via email or in-app notification at least fifteen (15) days before the effective date. Non-material changes (including clarifications, corrections, or changes required by law) will be effective immediately upon posting. Your continued access to or use of the Service after any modifications constitute your binding acceptance of the revised Terms. If you do not agree to any modifications, your sole remedy is to discontinue use of the Service.

14. Miscellaneous

14.1 Entire Agreement

These Terms, along with the Order Form, Privacy Policy, and DPA, constitute the entire agreement between you and Humai and supersede all prior or contemporaneous agreements.

14.2 Assignment

You may not assign this Agreement without our prior written consent. Humai may assign this Agreement to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of its assets.

14.3 Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect.

14.4 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control.

14.5 No Waiver

A party's failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

14.6 Our Intellectual Property

The Service, including all underlying software, algorithms, and our trademarks, is the exclusive intellectual property of Humai and its licensors, protected by UAE and international law. No rights are granted other than as expressly set forth herein.

14.7 Feedback

If you provide us with any suggestions or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such feedback into our services without any obligation to you.

Agreement Acknowledgment

By using Huscribe, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

These Terms of Service are effective as of 5 June 2025 and remain in effect until superseded by a newer version.
